Audit Committee
The Company’s Audit Committee is composed of three independent directors, serving a term from June 9, 2023 to June 8, 2026. Its responsibilities include reviewing the Company’s financial statements; overseeing the appointment and independence of the certified public accountants; establishing or amending the internal control system; and supervising the Company’s compliance with internal policies and applicable laws and regulations. When necessary, the Audit Committee may invite department heads, internal auditors, accountants, legal advisors, and other relevant personnel to attend meetings for discussion. In 2024, the Audit Committee convened four meetings, with a 100% attendance rate among its members.

Remuneration Committee
The current Compensation Committee consists of five members, including four independent directors and one external independent third party, all of whom meet the independence requirements stipulated by applicable regulations. The term of office runs from June 9, 2023 to June 8, 2026.
The Company has established the Organizational Charter of the Compensation Committee to define the Committee’s authorities and responsibilities. The Committee is responsible for formulating and regularly reviewing the compensation policies and standards for directors and senior management.
The Compensation Committee convenes meetings on a semiannual basis. In 2024, a total of three meetings were held, with a 100% attendance rate among all members.

Internal Audit Management
ABC-ATEC formulates its annual audit plan based on risk assessments, which is implemented upon approval by the Board of Directors. The internal audit unit submits internal audit reports on a monthly basis to the independent directors for review. In addition, reports are presented and discussed with committee members and directors at meetings of the Audit Committee and the Board of Directors. Matters related to financial statements are communicated and discussed with the external auditors at Board meetings.
Through the annual internal control self-assessment conducted by each department, operating activities are reviewed to evaluate the extent to which objectives relating to operational effectiveness and efficiency, the reliability of financial reporting, and compliance with applicable laws and regulations are achieved. The design and implementation of the internal control system are considered effective and provide reasonable assurance regarding the achievement of the above objectives.
